The Role You'll Play
The Corporate Paralegal is responsible for managing a wide variety of corporate governance, entity management, and strategic transaction-related matters, including maintaining corporate entity and policy records, supporting corporate governance activities, such as managing subsidiary consents and officer’s certificates, preparing know-your-customer and due diligence responses, and other legal projects.
- Support general corporate governance matters, including preparing powers of attorney, officer’s certificates, resolutions, consents, agendas and minutes, and maintaining minute books.
- Manage legal entity maintenance and administration, including recurring efforts, such as annual filings, state registrations, and intercompany agreements, and unique projects, such as formations and dissolutions.
- Maintain corporate records, databases, and organizational charts to ensure current and accurate entity information; run reports and provide responses to requests for corporate information.
- Assist with strategic projects and corporate transactions, such as mergers and acquisitions, including due diligence, document organization, signature coordination, and post-closing support.
- Coordinate with internal stakeholders, outside counsel, registered agents, and other third-party service providers on corporate matters.
- Support cross-functional teams by tracking deadlines and handling the legal aspects of compliance, audit, tax, and KYC requests across applicable jurisdictions.
- Identify and implement process improvements to enhance the legal team's efficiency, organization, and recordkeeping.
- Conduct legal and corporate research, and assist with special projects, as needed.
- Handle sensitive and confidential information with professionalism and discretion.
The Experience You’ll Bring
- 5+ years of relevant corporate paralegal experience with an in-house legal department, law firm, or a combination of both. Some in-house experience, particularly at a company with global operations, strongly preferred.
- Strong experience supporting corporate governance and legal entity management.
- Experience maintaining corporate records, minute books, and entity databases.
- Familiarity with subsidiary administration, including formations, dissolutions, and ongoing maintenance.
- Experience supporting mergers, acquisitions, financings, reorganizations, or other complex corporate transactions is a strong plus.
- Excellent organizational skills and keen attention to detail, with the ability to manage multiple projects and deadlines simultaneously.
- Strong written and verbal communication skills.
- Ability to work independently, take initiative, and collaborate effectively with cross-functional stakeholders.
- Proficiency with Microsoft Office and Adobe Acrobat; experience with entity management systems, document management tools, board portals, Slack and AI-enabled productivity tools is a plus.
- Bachelor’s degree and/or paralegal certificate preferred.
- Public company experience is a plus.

Actual compensation packages are based on several factors that are unique to each candidate, including but not limited to skill set, depth of experience, certifications, and specific work location.
The base salary range for this position in the United States is $65,400 to $87,200. The total compensation package for this position may also include a performance bonus, benefits and/or other applicable incentive compensation plans
